Welcome to AgriForumHub.

These Terms & Conditions (“Terms”, “Terms and Conditions”, or “Agreement”) govern your access to and use of the AgriForumHub website, platform, applications, services, marketplace, agricultural consultancy services, advertising services, forum/community features and related digital services.

By accessing, registering for, or using AgriForumHub, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

If you do not agree with these Terms, you should not use AgriForumHub.

1. ABOUT AGRIFORUMHUB

AgriForumHub is a digital agricultural platform designed to connect farmers, agricultural professionals, agribusinesses, suppliers, buyers, advertisers and other agricultural stakeholders.

The platform may provide:

  • Agricultural discussion forums and community features
  • Agricultural questions and answers
  • Agricultural expert consultancy
  • Agricultural marketplace listings
  • Advertising and promotional services
  • Agricultural jobs and opportunities
  • User profiles and directories
  • User-generated articles and content
  • Agricultural information and educational resources
  • Messaging and communication features
  • Other agricultural digital services introduced from time to time

AgriForumHub may modify, expand, suspend or discontinue any feature or service where reasonably necessary.

2. DEFINITIONS

For purposes of these Terms:

“AgriForumHub”, “we”, “us” or “our” means the entity operating the AgriForumHub platform.

“User”, “you” or “your” means any person who accesses or uses AgriForumHub.

“Seller” means a person or business publishing products or services through the AgriForumHub Marketplace.

“Buyer” means a person seeking to purchase products or services advertised by a Seller through the Marketplace.

“Advertiser” means a person or organization purchasing advertising or promotional space on AgriForumHub.

“Consultant” or “Expert” means an agricultural professional or other approved service provider offering consultancy through AgriForumHub.

“Marketplace” means the part of AgriForumHub where users and businesses publish agricultural products or services for discovery by potential buyers.

“Content” means text, photographs, videos, graphics, documents, comments, questions, answers, listings, advertisements, reviews and other material submitted to or displayed on AgriForumHub.

3. ACCEPTANCE OF THESE TERMS

By using AgriForumHub, you agree to:

  1. Comply with these Terms;
  2. Comply with applicable Kenyan laws and other applicable laws;
  3. Provide accurate information where required;
  4. Use the platform responsibly;
  5. Respect other users;
  6. Avoid fraudulent, misleading or unlawful activities; and
  7. Accept responsibility for activities conducted through your account.

If you are using AgriForumHub on behalf of an organization or business, you confirm that you have authority to bind that organization to these Terms.

4. ELIGIBILITY

You must provide truthful and accurate information when creating an account or submitting information to AgriForumHub.

AgriForumHub may restrict access to certain services where age, legal capacity, professional qualifications, payment requirements or other eligibility conditions apply.

Where applicable, users may be required to provide additional information to verify identity, business details or professional credentials.

5. USER ACCOUNTS

Certain AgriForumHub services may require you to create an account.

You are responsible for:

  • Providing accurate registration information;
  • Maintaining the confidentiality of your login credentials;
  • Keeping your account information updated;
  • Protecting your password;
  • All activities conducted through your account; and
  • Immediately notifying AgriForumHub if you suspect unauthorized access.

You must not:

  • Create an account using another person’s identity;
  • Impersonate another person or organization;
  • Create fraudulent accounts;
  • Share your account credentials where doing so creates a security risk; or
  • Use another person’s account without authorization.

AgriForumHub may suspend or terminate accounts that violate these Terms.

6. AGRIFORUMHUB COMMUNITY AND FORUM

AgriForumHub provides community features that allow users to ask questions, answer questions, comment, vote, follow users, communicate and share agricultural knowledge.

Users are responsible for the content they publish.

You must not use the forum to publish:

  • False or deliberately misleading information;
  • Fraudulent offers;
  • Spam;
  • Harassment or threats;
  • Hate speech;
  • Defamatory material;
  • Copyright-infringing material;
  • Malicious software or harmful code;
  • Misleading agricultural claims;
  • Unlawful content; or
  • Content that violates another person’s privacy.

AgriForumHub may remove content that violates these Terms or applicable law.

7. AGRICULTURAL INFORMATION DISCLAIMER

Information available on AgriForumHub is provided for general educational and informational purposes.

Agricultural conditions differ according to:

  • Location;
  • Climate;
  • Soil;
  • Crop variety;
  • Livestock breed;
  • Farm management practices;
  • Disease and pest conditions;
  • Regulations;
  • Market conditions; and
  • Other circumstances.

Therefore, information published by users, experts, advertisers or AgriForumHub should not automatically be considered a guarantee of a particular farming result.

Users should exercise appropriate professional judgment and, where necessary, obtain advice from a suitably qualified agricultural professional.

AgriForumHub does not guarantee that information available on the platform will always be complete, current, accurate or suitable for every farming situation.

8. CONSULT AN EXPERT SERVICES

AgriForumHub may allow farmers and other users to book agricultural consultancy services from available experts.

Consultancy services may cover areas including:

  • Crop farming;
  • Livestock farming;
  • Poultry;
  • Agribusiness;
  • Farm management;
  • Agricultural technology;
  • Climate-smart agriculture;
  • Farm inputs;
  • Agricultural marketing;
  • Funding and grants;
  • Training;
  • Digital agriculture; and
  • Other agricultural subjects.

Consultancy sessions may be delivered through online communication platforms, including Google Meet or other communication technologies designated by AgriForumHub.

8.1 Consultant Responsibility

Consultants are responsible for the professional information, opinions, recommendations and advice they provide.

AgriForumHub provides the digital platform for facilitating consultancy bookings and communication but does not guarantee a particular agricultural outcome from any consultation.

8.2 Consultancy Fees

Consultancy fees are displayed before or during the booking process.

Available payment methods may include:

  • Credit/debit card;
  • M-Pesa;
  • PayPal; and
  • Bank transfer.

AgriForumHub may introduce additional payment methods.

9. MARKETPLACE TERMS

The AgriForumHub Marketplace is a platform that enables users and businesses to publish agricultural products and services for discovery by potential buyers.

Important:

AgriForumHub does not sell the products or services listed by Marketplace Sellers.

AgriForumHub is a digital platform that provides listing and promotional services.

A Marketplace Seller is responsible for:

  • The products or services they advertise;
  • Accuracy of their listing;
  • Pricing;
  • Availability;
  • Quality;
  • Legality;
  • Delivery arrangements;
  • Customer communication;
  • Warranties or guarantees they offer; and
  • Completion of the transaction.

10. BUYER–SELLER TRANSACTIONS

Buyers and Sellers are responsible for their own transactions.

AgriForumHub does not process, receive, hold or guarantee payments between Marketplace Buyers and Sellers unless a particular service explicitly states otherwise.

Buyers should conduct appropriate due diligence before entering into a transaction.

This may include verifying:

  • Seller identity;
  • Business information;
  • Product availability;
  • Product quality;
  • Price;
  • Location;
  • Delivery arrangements;
  • Payment arrangements; and
  • Applicable licences or certifications.

AgriForumHub is not a party to a private transaction between a Marketplace Buyer and Seller.

11. MARKETPLACE SELLER RESPONSIBILITIES

Sellers must ensure that their listings are:

  • Accurate;
  • Complete;
  • Lawful;
  • Not misleading;
  • Relevant to agriculture or the applicable Marketplace category; and
  • Consistent with applicable laws.

Sellers must not publish listings for prohibited, unlawful, counterfeit, stolen or fraudulent goods or services.

AgriForumHub may reject, edit, suspend or remove listings that violate these Terms.

12. MARKETPLACE LISTING SUBSCRIPTIONS

AgriForumHub may charge Sellers monthly, yearly, lifetime or other applicable subscription fees for Marketplace listing services.

Subscription plans may provide different features and benefits.

Features may include, depending on the selected package:

  • Listing enquiry forms;
  • Images and video;
  • Business information;
  • Products;
  • Social links;
  • FAQs;
  • Business hours;
  • Messenger;
  • WhatsApp;
  • Telegram;
  • Live chat;
  • AI-assisted content features;
  • Featured listing options; and
  • Other features introduced by AgriForumHub.

AgriForumHub reserves the right to change subscription prices, plans, features or benefits with reasonable notice where appropriate.

13. FEATURED LISTINGS

AgriForumHub may allow Sellers to pay for featured or promoted listings.

Featured placement improves visibility within designated areas of the platform but does not guarantee sales, enquiries, leads or transactions.

Featured listings must still comply with these Terms.

AgriForumHub may remove or suspend a featured listing that violates these Terms.

14. ADVERTISING SERVICES

AgriForumHub may provide advertising services to farmers, agribusinesses, organizations, suppliers and other advertisers.

Advertising may include:

  • Banner advertising;
  • Promotional listings;
  • Sponsored content;
  • Agricultural campaigns;
  • Featured advertisements; and
  • Other advertising formats.

Advertisers are responsible for ensuring that advertising content is accurate, lawful and does not infringe third-party rights.

AgriForumHub may reject or remove advertisements that are misleading, unlawful, inappropriate or inconsistent with the platform’s policies.

15. ADVERTISING FEES

Advertising charges will depend on the advertising package, placement, duration, format or other applicable factors.

Payment may be made using available payment methods including:

  • Credit/debit card;
  • M-Pesa;
  • PayPal; and
  • Bank transfer.

AgriForumHub may change advertising prices and packages from time to time.

16. PAYMENTS

Payments for AgriForumHub services may be made through supported payment methods.

Depending on the service, these may include:

  • Credit/debit cards;
  • M-Pesa;
  • PayPal;
  • Bank transfer; and
  • Other payment methods introduced by AgriForumHub.

Users must provide accurate payment information.

AgriForumHub is not responsible for delays caused by banks, mobile-money operators, payment processors or other third-party payment providers.

17. REFUND POLICY

The following refund period applies to charges paid directly to AgriForumHub for applicable services:

  • Consultancy booking charges;
  • Marketplace listing charges;
  • Featured listing charges; and
  • Advertising charges.

17.1 30-Minute Refund Window

A refund request must be submitted within 30 minutes from the time payment is successfully completed.

Requests received after 30 minutes will generally not be processed.

This policy does not override any mandatory refund, cancellation or consumer rights that may apply under applicable law.

17.2 Marketplace Buyer–Seller Payments

The above AgriForumHub refund policy does not govern private payments made directly between Marketplace Buyers and Sellers because AgriForumHub does not process those transactions.

Any refund or dispute concerning a private Buyer–Seller transaction should be addressed directly between the Buyer and Seller, subject to applicable law and any agreement between them.

18. USER-GENERATED CONTENT

Users may submit questions, answers, comments, articles, reviews, images, videos and other material.

By submitting content, you represent that:

  1. You have the right to submit the content;
  2. The content does not unlawfully infringe another person’s rights;
  3. The content is not fraudulent or deliberately misleading;
  4. The content does not violate applicable law; and
  5. The content does not contain malicious software.

You retain ownership of your original content, subject to the rights granted to AgriForumHub under these Terms.

You grant AgriForumHub a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute and promote your submitted content as reasonably necessary to operate and promote the platform.

19. REVIEWS, RATINGS AND REPUTATION

AgriForumHub may provide reputation points, voting, ratings, badges or other community recognition features.

Users must not manipulate these systems through:

  • Fake accounts;
  • Automated activity;
  • Fraudulent voting;
  • Vote manipulation;
  • Paid manipulation;
  • Misleading reviews; or
  • Other artificial methods.

AgriForumHub may remove fraudulent votes, ratings or reputation points.

20. PRIVATE MESSAGING

AgriForumHub may provide private messaging between users.

Users must not use private messaging to:

  • Harass others;
  • Send spam;
  • Conduct fraud;
  • Send malicious files;
  • Impersonate others;
  • Solicit unlawful activities; or
  • Abuse or threaten another user.

AgriForumHub may investigate reported misuse in accordance with applicable law and its privacy practices.

21. JOBS AND OPPORTUNITIES

AgriForumHub may provide a job directory where users or organizations can publish employment opportunities.

AgriForumHub does not guarantee:

  • The authenticity of every job advertisement;
  • Employment;
  • Salary;
  • Employer conduct;
  • Applicant suitability; or
  • Job availability.

Applicants should independently verify job advertisements and organizations before providing sensitive information or entering into agreements.

22. USER PROFILES AND BUSINESS INFORMATION

Users and businesses may create public profiles containing information such as:

  • Name;
  • Business name;
  • Location;
  • Contact information;
  • Description;
  • Professional information;
  • Social media links;
  • Products or services; and
  • Other information voluntarily published by the user.

Users should avoid publishing sensitive personal information unnecessarily.

The processing of personal information is governed by the AgriForumHub Privacy Policy. Kenya’s Data Protection Act, 2019 establishes obligations relating to personal-data processing and rights of data subjects.

23. INTELLECTUAL PROPERTY

Unless otherwise stated, AgriForumHub’s platform, branding, logos, design, software, layout, text and original materials are owned by or licensed to AgriForumHub.

You must not copy, reproduce, modify, distribute, sell, reverse engineer or commercially exploit AgriForumHub’s proprietary materials without appropriate authorization.

Third-party trademarks, logos and content remain the property of their respective owners.

24. PROHIBITED ACTIVITIES

You agree not to use AgriForumHub to:

  1. Commit fraud;
  2. Impersonate another person or business;
  3. Publish deliberately false information;
  4. Conduct unlawful transactions;
  5. Upload malware or malicious code;
  6. Attempt unauthorized access to the platform;
  7. Interfere with platform security;
  8. Scrape or harvest information without authorization;
  9. Spam users;
  10. Manipulate votes, reviews or reputation;
  11. Infringe intellectual-property rights;
  12. Harass or threaten users;
  13. Publish unlawful or harmful content;
  14. Circumvent platform security or payment mechanisms;
  15. Use automated systems to abuse the platform; or
  16. Engage in any activity prohibited by applicable law.

25. THIRD-PARTY SERVICES

AgriForumHub may integrate with third-party services, including payment processors, communication platforms, mapping services, social-media platforms, analytics providers and video-conferencing services.

Examples may include payment services such as PayPal or M-Pesa and communication services such as Google Meet.

Third-party services are governed by their own terms and policies.

AgriForumHub is not responsible for the independent operation, availability, policies or practices of third-party services.

26. AVAILABILITY OF THE PLATFORM

AgriForumHub aims to maintain reliable access to its services but does not guarantee uninterrupted availability.

The platform may occasionally become unavailable because of:

  • Maintenance;
  • Software updates;
  • Hosting problems;
  • Network interruptions;
  • Cybersecurity incidents;
  • Third-party service failures;
  • Force majeure events; or
  • Other circumstances outside AgriForumHub’s reasonable control.

27. ACCOUNT SUSPENSION AND TERMINATION

AgriForumHub may suspend, restrict or terminate an account where there is reasonable evidence of:

  • Violation of these Terms;
  • Fraud;
  • Abuse;
  • Illegal activity;
  • Security threats;
  • Misuse of the platform;
  • False information; or
  • Other conduct that may harm AgriForumHub or its users.

Where appropriate, AgriForumHub may provide notice before taking action, but immediate action may be taken where necessary to protect users, the platform or legal interests.

28. DISCLAIMER OF WARRANTIES

To the extent permitted by applicable law, AgriForumHub provides the platform on an “as available” basis.

AgriForumHub does not guarantee that:

  • The platform will always be available;
  • All information will always be accurate;
  • Marketplace listings will always be genuine;
  • Sellers will fulfil their obligations;
  • Buyers will make payments;
  • Consultancy advice will produce a particular result;
  • Advertisements will generate a particular number of leads or sales; or
  • Particular agricultural outcomes will be achieved.

Nothing in these Terms is intended to exclude rights or protections that cannot lawfully be excluded.

29. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AgriForumHub will not be responsible for losses arising from:

  • Transactions between Marketplace Buyers and Sellers;
  • Seller misconduct;
  • Buyer misconduct;
  • Incorrect information submitted by users;
  • User-generated content;
  • Third-party service failures;
  • Loss of business opportunities;
  • Loss of expected profits;
  • Unauthorised conduct by other users; or
  • Circumstances beyond AgriForumHub’s reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

30. MARKETPLACE TRANSACTION DISCLAIMER

IMPORTANT NOTICE TO BUYERS

AgriForumHub is a marketplace platform and is not the seller of products or services listed by third parties.

Before purchasing from a Seller, you should independently verify the Seller and the product or service.

AgriForumHub does not guarantee:

  • Seller identity;
  • Product quality;
  • Product authenticity;
  • Product availability;
  • Delivery;
  • Seller performance;
  • Payment security for direct Buyer–Seller payments; or
  • Successful completion of a transaction.

Buyers and Sellers are responsible for their own transactions.

31. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold AgriForumHub and its owners, employees, contractors and service providers harmless from claims, losses or expenses arising from:

  • Your violation of these Terms;
  • Your unlawful activities;
  • Your submitted content;
  • Your Marketplace activities;
  • Your advertisements;
  • Your misuse of the platform; or
  • Your violation of another person’s rights.

This clause does not apply to losses caused by AgriForumHub’s own unlawful conduct or liability that cannot legally be excluded.

32. PRIVACY

Your use of AgriForumHub is also governed by our Privacy Policy.

The Privacy Policy explains how AgriForumHub collects, uses, stores, protects and shares personal information.

Users have data-protection rights under applicable law, including rights concerning access, correction, objection and deletion in applicable circumstances.

33. COOKIES

AgriForumHub may use cookies and similar technologies to:

  • Operate the website;
  • Remember user preferences;
  • Improve functionality;
  • Understand website usage;
  • Improve security; and
  • Support analytics and advertising.

34. CHANGES TO THESE TERMS

AgriForumHub may update these Terms from time to time.

When significant changes are made, AgriForumHub may provide notice through the website, email, account notifications or other reasonable means.

The updated Terms will become effective on the date stated in the updated version.

Continued use of AgriForumHub after the effective date constitutes acceptance of the updated Terms, subject to applicable law.

35. GOVERNING LAW

These Terms shall be governed and interpreted in accordance with the laws of Kenya, except where applicable law requires otherwise.

The Consumer Protection Act, 2012 provides a legal framework concerning consumer protection and consumer transactions in Kenya.

36. DISPUTE RESOLUTION

AgriForumHub encourages users to first attempt to resolve disputes through direct communication with AgriForumHub where the dispute concerns AgriForumHub’s own services.

Where appropriate, the parties may attempt negotiation or alternative dispute resolution before commencing formal legal proceedings.

Nothing in this section prevents a consumer or other party from exercising rights or remedies that cannot legally be excluded.

37. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally permissible.

The remaining provisions shall continue to apply.

38. ENTIRE AGREEMENT

These Terms, together with the AgriForumHub Privacy Policy and other applicable policies, rules and service-specific terms, constitute the agreement governing your use of AgriForumHub.

Where a specific service has additional terms, those terms will apply to that particular service to the extent of any conflict.

40. IMPORTANT USER NOTICE

By using AgriForumHub, you acknowledge that:

1. AgriForumHub is an agricultural digital platform.

2. AgriForumHub does not sell Marketplace products or services itself.

3. Marketplace Buyers and Sellers are responsible for their own transactions.

4. AgriForumHub does not process Buyer–Seller Marketplace payments.

5. Marketplace Sellers pay AgriForumHub for listing and promotional services.

6. Featured listings are promotional services and do not guarantee sales.

7. Consultancy services are subject to the applicable consultancy terms and fees.

8. Refund requests for applicable AgriForumHub service charges must generally be submitted within 30 minutes of payment.

9. Information provided on AgriForumHub should not automatically be treated as a guarantee of a particular agricultural result.

10. Users are responsible for complying with applicable laws when using the platform.
